Following the acquisition of Croda Chemicals International's rolling fluid and production businesses by Shell UK, Shell lubricants companies are to expand metalworking fluids.

Shell lubricants companies are to expand their portfolio for the metalworking and metals sectors with the acquisition of Croda Chemicals International's (CCI) rolling fluid and production engineering businesses by Shell UK Contracts were exchanged today (23rd January 2006) in a deal that will see Shell take ownership of Croda's rolling fluid and production engineering lubricant formulations

Croda's technical, sales and customer service staff from the rolling fluid and production engineering businesses will also transfer to Shell.

Completion on the transaction is expected during the first quarter 2006.

Comments David Pirret, executive vice president, Shell Lubricants: "This significant acquisition complements our strategy of expanding our portfolio and technical expertise in specialist and added value products and will support our continued growth in the primary metals sector and engineering and manufacturing industries, in which Shell lubricants companies are already well placed.

The transfer of the company's intellectual property to Shell will enable us to offer customers continuity of supply and sales support with all the added advantages of Shell's global reach and ability to invest in research and development." Shell lubricants companies have had a close relationship with Croda for the past 15 years, selling Croda's rolling fluids under the Shell banner.

Shell will maintain the current formulations, with their existing names for ease of identification, ensuring continuity of supply.

The acquisition will also see Shell strengthen its existing metalworking lubricants interests, with the addition of a number of forming products, as well as the introduction of a range of protectives.

In the short term, products will continue to be manufactured at Croda Applications plant in Doncaster (UK).

A transition to a suitable Shell manufacturing facility is envisaged by mid 2006.

Croda customers were informed of the planned transition following a 'heads of understanding' agreement in December and the response to date has been extremely favourable.

Comments Roger Moulding, vice president Specialities, Shell Lubricants: "This acquisition has significant benefits for both Croda and Shell customers; it will allow Croda customers to rationalise their supplier base while maintaining continuity of supply and gaining access to Shell's technical and research and development expertise.

Existing Shell customers will benefit from the expansion of our portfolio as part of our commitment to meeting their entire lubrication requirements on a global basis. Request free introductory details about products from Shell Lubricants ...
